Quelles sont les types de clause de liquidation préférentielle existantes sur le marché ?   - x1 non-participating (le plus habituel sur le marché) : Si les sommes distribuées sont inférieures au montant investi par les investisseurs, ces derniers sont alors servis en priorité jusqu’au montant qu’ils ont investi dans la société (x1) puis le solde sera distribué uniquement entre les autres associés (participating). Toutefois, si les sommes distribuées sont supérieures au montant investi par les investisseurs, ces derniers préféreront alors une répartition au prorata de leur participation au capital. - x1 participating : Une fois leur investissement initial récupéré en priorité, les investisseurs peuvent également recevoir le reste du produit distribué, au côté des autres associés (participating).    Juridiquement, ce mécanisme détaillé dans le pacte d'associés fonctionne grâce à l'émission de nouvelles actions préférentielles émises au profit des investisseurs, ce qui leur permet ainsi d'être remboursé en priorité de leur investissement initial par rapport aux autres associés titulaires d'actions ordinaires.   Des questions subsistent ? In the event of a company exit - buyout, IPO, bankruptcy proceedings - the liquidation preference clause allows to distribute the proceeds in priority to the investors before the other shareholders of the company, allowing them to get (up to) their investment back.   What types of liquidation preference mechanism exist on the market? - x1 non-participating (market standard): If the amounts distributed are lower than the amount invested by the investors, the latter are then served in priority up to the amount they have invested in the company (x1) and then the balance will be distributed only among the other shareholders (non-participating). -
