### **1\. Planifier un appel avec votre expert**(**e**) **juridique SeedLegals**

Tout d'abord, nous allons planifier un appel pour vous présenter le processus pour créer votre SAS/SASU et répondre à toutes vos questions !

Si vous le souhaitez, vous pouvez lire les étapes suivantes afin de préparer toutes vos questions pour notre appel.

💬    Votre Account Manager vous proposera un rendez-vous avec une experte juridique pour la création de votre société. Si cela n'est pas encore fait, contactez-nous directement sur le **chat en bas à droite de votre écran** !

 

### **2. Remplissez le formulaire envoyé par email par notre équipe**

Après notre appel, l'équipe vous enverra un e-mail avec les prochaines étapes pour immatriculer votre société :

✅ Contactez votre banque pour ouvrir un **compte bancaire pour votre société** et pour effectuer les **apports** initiaux (il peut s'agir de n'importe quelle banque qui s'occupe de comptes pour les professionnels et sociétés) ;

👉 Vous n'avez pas encore ouvert votre compte bancaire ? Rendez-vous à l'étape 4 de cet article !

✅ Décider du montant des apports, de la **répartition du capital**, du nombre d'actions au capital et de la valeur nominale de votre société ;

👉 Le plus souvent, les sociétés choisissent des apports d'un montant total de 1000€ avec un prix par action (valeur nominale) de 0,01€.

✅ Décider de l'**adresse de la société**. Vous pouvez indiquer votre propre adresse ou demander ce service à un service de domiciliation si nécessaire ;

✅ Décider de la nomination d'un **Président** voire d'un ou plusieurs **Directeur Général** ;

📝 Remplir le **formulaire** directement via**[ce lien](https://tally.so/r/n08rPB)** (qui vous sera également envoyé par mail) !

Une fois le formulaire rempli, nous reviendrons vers vous avec la première version des statuts que vous utiliserez pour ouvrir votre compte bancaire.

### 3\. **Décider de l'adresse de votre société**

Dans le formulaire, il vous sera demander d'indiquer l'adresse du siège social de votre société.

⌛ **Petite astuce :** le Greffe du tribunal de commerce de Paris peut souvent être surchargé et avoir des délais de traitement plus important, que ce soit pour l'immatriculation de la société mais également pour enregistrer toute future opération sur le capital ou modification des statuts.

Nous recommandons alors de choisir l'adresse du siège social de votre société dans d'autres départements si cela vous convient aussi. Vérifiez également selon votre activité si un département est plus intéressant qu'un autre en termes de subvention, réseau d'entrepreneurs, incubateurs ou family office présents etc.

 

Deux options s'ouvrent alors à vous :

🏠 Domicilier votre société **au domicile personnel d'un dirigeant (Président ou DG)** nous aurons alors besoin des documents suivants pour le Greffe du tribunal de commerce :

👉 une **attestation de domiciliation**

👉 un **justificatif de domicile au nom du dirigeant** à nous déposer via le formulaire ou à nous envoyer via le chat en bas à droite de l'écran (par exemple une facture d'électricité, d'eau, de téléphonie fixe, ou d'internet de moins de 3 mois).

Le justificatif n'est pas à votre nom ? Il faudra alors, en supplément, une **attestation d'hébergement** de la part de l'hébergeur dont le nom est sur le justificatif de domicile. 🏢 Domicilier votre société auprès d'une **société de domiciliation :**

\- par exemple **[Sofradom](http://www.sofradom.fr)**(adresses partout en France) ou ;

**- [LegalPlace](https://c3po.link/QM2u3qejzq)** (adresses à Paris uniquement).

Nous aurons alors besoin des documents suivant pour le Greffe du tribunal de commerce :

👉 le **contrat de domiciliation** remis par la société de domiciliation, signé et en entier, avec les termes et conditions du contrat ainsi que ses annexes (la première page de signature ou une simple attestation ne suffiront pas).

👉 le **Kbis de la société de domiciliation**. Une fois la documentation reçue, vous pouvez nous l'envoyer par email ou via le chat en bas à droite de votre écran afin que nous puissions l'ajouter à votre dossier !

 

### 4\. **Ouvrir votre compte bancaire et obtenir le certificat du dépositaire**

🏦 Avec la première version des statuts que nous vous enverrons par email, vous pouvez ouvrir le compte bancaire de votre société. Vous pouvez utiliser n'importe quelle banque (votre banque habituelle par exemple ou toute autre banque qui s'occupe de comptes professionnels et pour les sociétés).

⚠️ A noter : certaines banques n'acceptent pas les apports réalisés par des personnes hors-UE en raison de leur politique "*KYC (Know your customer)*"

📋 Une fois le compte bancaire ouvert et les apports déposés, vous recevrez un certificat de la part de la banque. Envoyez-nous ce certificat par email ou via le chat en bas à droite de l'écran pour que  nous l'ajoutions à votre dossier.

 

### 5\. **Signatures et formalités**

Une fois toutes les informations transmises et tous les documents complets, notre équipe vérifiera votre dossier et vous contactera si besoin de plus d'informations.

Vous recevrez alors une **enveloppe de signature électronique pour signer tous les documents**. Tous les documents seront ensuite envoyés au Greffe du Tribunal de Commerce compétent.

Le Greffe prend environ 1 semaine pour valider l'immatriculation d'une société - notre équipe vous enverra alors votre Kbis par email. 🎉

 

🤔 Vous avez votre **siège social à Paris** ? Le Greffe du Tribunal de Commerce de Paris a des délais un peu plus longs que la moyenne, il faudra prévoir 2 à 3 semaines dans ce cas !

 

 

### 6\. **Compléter le compte de votre société sur SeedLegals**

En attendant que le Greffe valide l'immatriculation de votre société et nous remette le Kbis, nous vous invitons à compléter votre compte sur SeedLegals pour avancer efficacement sur vos premières opérations !

You want to incorporate your "SAS/SASU" company with SeedLegals? Here are the steps to follow! 

### **1\. Schedule a call with your SeedLegals legal expert**

First of all, we will schedule a call to explain the process of creating your SAS/SASU and to answer any questions you may have!

We also invite you to read the following steps to prepare all your questions for our call 💡

💬 Your Account Manager will suggest an appointment with a legal expert to set up your company. If your appointment is not yet scheduled, contact the team directly on the **chat at the bottom right corner of your screen**!

### **2\. Fill in the form emailed to you by our team**

After our call, the team will send you an email with the next steps to create your company:

✅ Contact a bank to open a **bank account** for your company and to make the initial deposit (this can be with any bank that deals with accounts for professionals and companies) ;

👉 You haven't opened your bank account yet? Go to **step 4** of this article!

✅ Decide on the **amount** of capital, the **distribution** among cofonders, the number of shares in the capital and the **nominal value** of the shares;

👉 Most often, companies choose an amont of €1,000 for the capital, with a price per share (nominal value) of €0.01 and 100,000 shares.

✅ Decide on the company's **address**. You can use your own address or request this service from a **domiciliation service** :

✅ Decide who to appoint as Président and, if you want decide who to appoint as Managing Directors;

📝 Fill in the **form** directly via **[this link](https://tally.so/r/n08rPB)** (which will also be sent to you by email)!

Once the form has been completed, we will get back to you with the first version of your **company** **Bylaws** that you will use to open your bank account!

### **3\. Decide on your company address**

On the form, you will be asked to indicate the address of your company's registered office.

⌛ **A little tip**: the Commercial Court ("Greffe du tribunal de commerce") in Paris can often be overloaded and have longer processing times, both for registering the company and for registering any future capital transactions or amendments to the articles of association.

We therefore recommend that you choose an address for your company's registered office in other départements, if this is also convenient for you. Depending on your business, you should also check whether one département is more attractive than another in terms of subsidies, entrepreneurial networks, incubators or family offices, etc.

**You then have two options:**

🏠 Register your company at the **personal address** of a director (President or Managing Partner). In this case, we will need the following documents for the Registry of the Commercial Court ("Greffe"):

👉 a **certificate** of domiciliation (we will provide it for you)

👉 a **proof of address** in the name of the director, to be submitted via the form or sent to us via the chat box at the bottom right of the screen (e.g. an electricity, water, landline telephone or internet bill less than 3 months old).

Is the proof of address not in your name? Then you will need an additional **certificate of accommodation** ("attestation d'hébergement") from the provider whose name is on the proof of address. **[Click on this link to download one from the public service website!](https://www.service-public.fr/simulateur/calcul/AttestationHebergement)**

🏢 Register your company with a domiciliation company (e.g. **[Sofradom](http://www.sofradom.fr)** in France or **[LegalPlace](https://c3po.link/QM2u3qejzq)** only for Paris).

We will then need the following documents for the Commercial Court:

👉 the **domiciliation contract** given by the domiciliation company, signed and in full, with the terms and conditions of the contract and its appendices (the first signature page or a simple attestation will not suffice).

👉 the **"Kbis" (proof of incorporation document)** of the domiciliation company. Once you have received the documentation, you can send it to us by email or via the chat at the bottom right of your screen so that we can add it to your file!

 

### **4. Open your bank account and obtain the custodian's certificate**

🏦 With the first version of the **company Bylaws** that we will send you by email, you can open your company's bank account. You can use any bank (your usual bank, for example, or any other bank that deals with business and company accounts).

⚠️ Please note: some banks do not accept contributions from people outside the EU because of their **‘KYC (Know your customer)’** policies.

**📋** Once the bank account has been opened and the deposits made, you will receive a **certificate** ("certificat du dépositaire") from the bank. Send us this certificate by email or via the chat below.

### 5. Signatures and formalities

Once all the information has been submitted and all the documents are complete, our team will check your application and contact you if any further information is required.

You will then receive an **electronic signature envelope to sign all the documents**. All the documents will then be sent to the Registrar of the relevant Commercial Court.

The Greffe takes around 1 week to validate the registration of a company - our team will then email you your Kbis. 🎉

🤔 Do you have your **registered address in Paris**? The Greffe du Tribunal de Commerce de Paris takes a little longer than average, so you should allow 3 weeks to a month in this case!

### **6. Complete your account on SeedLegals! **

While you're waiting for the Registrar's Office to validate your company's registration and issue us with the Kbis, we invite you to **complete your account on SeedLegals** so that you can get on with your first operations efficiently!
