Une fois les BSA exercés, l'advisor devient actionnaire et entre ainsi au capital de votre société, cela sera reflété sur [votre table de capitalisation](https://seedlegals.com/fr/resources/comment-creer-et-gerer-sa-table-de-capitalisation/).

 

Attention ! Il n’est pas possible de vendre ou donner des BSA mais seulement de vendre les actions issues de l’exercice des BSA. Nuance qui a son importance.

Vendre les actions est d’ailleurs le seul moyen (pour la majorité des startups) de pouvoir monétiser cet intéressement. C’est toute la question de la « liquidité ». En effet, la vente des actions est possible, en général, en cas d’exit : vente ou entrée en bourse de la société.

 

Les modalités de cession des actions sont alors prévues dans les documents juridiques signés lors de l’attribution, à savoir, les engagements contractuels.

 

Vous devez donc en informer la société dans la quasi totalité des cas et certains actionnaires auront, par exemple, un droit de priorité pour racheter vos actions (le « droit de préemption » ou « right of first refusal »).

### **How to Sell Shares Acquired Through BSA Exercise?**

 

Once the BSA are exercised, the advisor becomes a shareholder, and this will be reflected in your cap table.

 

Important:

BSA cannot be sold or transferred—only the shares acquired through their exercise can be sold. This distinction is crucial.

 

For most startups, selling shares is the only way to monetise this equity interest, making liquidity a key consideration. This ties back to the four key moments when BSA can be exercised.

In general, selling shares is only possible in the case of an exit event, such as a company sale or an IPO.

The terms for selling shares are outlined in the legal agreements signed at the time of allocation, such as contractual commitments.

In most cases, you must inform the company before selling shares. Additionally, some shareholders may have a right of first refusal, meaning they have priority to buy your shares before you sell them to a third party.
