Il n’est pas possible de vendre ou donner des BSPCE mais seulement de vendre les actions issues de l’exercice des BSPCE. Nuance qui a son importance. Vendre les actions est d’ailleurs le seul moyen (pour la majorité des startups) de pouvoir monétiser cet intéressement. C’est toute la question de la « liquidité ». En effet, la vente des actions n’est possible, en général, qu’en cas d’exit : vente ou entrée en bourse de la société.   Les modalités de cession des actions sont alors prévues dans les documents juridiques signés lors de l’attribution, à savoir, les engagements contractuels ou mini-pacte d’associés.   Vous devez donc en informer la société dans la quasi totalité des cas et certains actionnaires auront, par exemple, un droit de priorité pour racheter vos actions (le « droit de préemption » ou « right of first refusal »). ### Des questions ? This distinction is crucial. For most startups, selling shares is the only way to monetize BSPCEs. This brings up the question of liquidity, which ties back to the four key moments when BSPCEs can be exercised. In general, selling shares is only possible during an exit event, such as a company sale or an IPO. ### **How Are Shares Sold?**   The rules governing share transfers are outlined in the legal documents signed at the time of BSPCE allocation—namely, contractual agreements or the mini-shareholders' agreement.
