How to reflect an off-platform share redesignation?

A step-by-step guide to reflecting an off-platform share redesignation and keeping your cap table and filings accurate

 

A share redesignation is when existing shares are reclassified into a different share class without changing who owns them or introducing new investment. Companies commonly do this when updating shareholder rights, preparing for investment, or restructuring their share classes.

When a redesignation takes place, it must be correctly reflected in company records and, where required, reported to Companies House using an SH08 form for share reclassification. To keep records accurate, it is also important to update the change on SeedLegals so your cap table, certificates, and future workflows remain accurate.

  1. Go to  Cap table tab and select Share redesignation


  2. Click + New Share redesignation
  3. Click Start now
  4. Select the shareholder
  5. Choose the share certificate to redesignate
  6. Enter the number of shares (partial or full off-platform redesignation is supported)
  7. Select the new share class to which the shares were redesignated to
    • The original share class will not appear in the list
    • You can select the existing share class or add a new share class at this stage

  8. Select the date the event took place by clicking on the calendar icon
  9. Click Confirm
SeedLegals will then annul the original shares and create new shares in the selected share class. This may take a short moment to process.
 
 
 

What happens after redesignationOnce complete:

  • A closed event appears in the share redesignation table
  • The Cap table timeline shows:
    • Shareholder name
    • Number of shares redesignated
    • Original share class → new share class
  • The Share certificates section shows:
    • The original certificate is marked as annulled
    • New certificates for each resulting share class


 

Key things to keep in mind

  • Share redesignation does not change ownership
  • It does not introduce new investment
  • It reclassifies existing shares only
  • SH08 is a legal document used in the UK to notify the Registrar of Companies about a change to the name or designation of a class of shares
  • All changes are fully recorded in the cap table, certificates, and Companies House filings
